The P.M.A.N Constitution

RULE 1- NAME:
The name of the Association shall be “Performing Musicians Employers’ Association of Nigeria” otherwise known as “PMAN” and hereinafter referred to as the “Association”

RULE 2- OFFICE:
The registered office of the Association shall be 1A Oremeji Street, Ikeja or such other place as may be decided upon by the members through a resolution of the National Executive Council.

RULE3- OBJECTIVES:
To organize an Association of musicians who are engaged in the employment of the services of musical instrumentalist, producers, entertainment managers, arrangers etc. in the performance of their duties, under a virile, strong and united body for their mutual benefits and welfare.
To promote the study, practice and dissemination of the knowledge of music and musicology throughout the Federal Republic of Nigeria.

(i) To establish the machinery for negotiations between the Association and the representatives of other persons or bodies engaged in the use of the works of musicians

(ii) To determine by negotiating between the Association and the employees of members units or their representatives in matters relating to (i) above.

(iii) To establish the machinery for negotiations between the Association and the representatives of employees of members units at National level.

(iv) To secure the equitable observance of Agreements so reached by negotiation.

To support members bearing in mind their area of musical interest and their geographical area of operation.
To engage in and organize the training and education of members generally and set up an institution to facilitate such training and education in Nigeria.
To eradicate or reduce the infringement of copyright through out Nigeria by promoting the legalization and enforcement of relevant laws.
To protect members of the Association from person's) whose character and circumstance render them unworthy of practice and participation in the music industry.
To protect the creative and performing rights of all member musicians in Nigeria.
To enter into Agreements with Phonograph Producers, Record label Owners, manufactures of Phonograph records and music cassettes, Broadcasting Organizations, Hotels, Night Clubs, Concert Halls, Cinema Houses and other venues where music is used for public entertainment, for the payment of Royalties to members through the Association, as PMAN deems fit. This rule relieves anybody or group from the responsibility and places it entirely on PMAN henceforth.
To take such action as may be necessary and desirable for the purpose of avoiding industrial dispute.
To give members all possible assistance that is considered proper and desirable in the opinion of the Members of the Association.

(i) To engage in the importation, exportation, manufacturing or distribution of musical instruments and accessories.

(ii) To liase, affiliate or co-operate with bodies of musicians in other countries and other international organisations for the achievement and furtherance of the objects of the Association.
To publish and distribute periodicals, newspapers, books, leaflets, documents, magazine, sheet music and other related publications and documents that the Association may deem desirable in the promotion of its interest and that of its members.
To collect and disseminate statistical and other data and information relating to music and the music industries and bodies in Nigeria.
To effect settlement of disputes pertaining to payment of royalties and other fees and entitlements between members and their recording companies and other commercial/industrial disputes whenever such occur.
To promote co-operation, assistance and unity amongst individual members as well as mutual understanding amongst related Industries, Unions and Associations.
To co-operate with, advise and make representations to government on all matters affecting musicians, performing Artistes and the Music Industry in Nigeria.
To control and enforce all rules and regulations guiding the use of musical works and sound recordings of non-Nigerians in Nigeria, including the sales of records and collection of royalties thereon.
(i) To build Union Halls, theatre halls, Recording Studios and other related facilities subject to the availability of funds
To organize joint recording and musical performance of members to promote unity and raise funds for the association and/or any charitable cause.
To raise and maintain high standards of performance and conduct of practicing musicians in Nigeria.
To set up awards in recognition of outstanding and worthy contribution to musical endeavor and in furtherance of it in Nigeria.
To serve as a pool of information and of continuous employment for musicians in Nigeria by keeping an up-to-date register of all members and their fields of specialization.
To take adequate steps to protect members of the association from exploitation in anyway.
To ensure that non-Nigerian musicians on visit, perform at the express permission of PMAN, in order to avoid the subversion of the above objectives.
To perform and engage in the pursuit of other activities which in the opinion of the attainment of the above objects of the Association.
To ensure that every practicing or performing musician becomes a member of the Association.

RULE 4- MEMBERSHIP
(1) Membership shall be open to any musician:-
Who in the course of the performance of his work engages other worker as his employees to accomplish his duties. He may be a person who plays a musical instrument or sings, or composes or arranges or conducts.
Who has resident or working permit (in the case of non-Nigerians) or
Who having become a member continues to fulfill his membership obligations as provided in the constitution.
An intending member shall complete application forms issued by the Association which shall be submitted to the chapter exiting in his usual place of residence or to the National Headquarters if a chapter of the Association does not yet exit where he resides.
Membership of a special or honorary character may be conferred on persons who have made outstanding contributions to the development of music in Nigeria, by the National Executive Council. Such special member shall be entitled to the same privileges as other members.
A successful applicant shall be entitled to the Association’s card which shall be carried by the member at all times and produced upon demand by any Association official, the Police, or any person or group or group persons intending to use the service of the musician. The card carrier shall be entitled to the protection of the Association in whatever form subject to the determination of the National Executive Council.
Membership shall be granted only on the approval of the National Working Committee of the Association.
A member who changes residence form one area to another, shall be entitled to automatic membership of the Chapter in his new area, if the member obtains notification form his usual chapter stating that he is not in arrears of Association dues or levy and not in any way indebted to the Association. Such notification shall be obtained from the National Headquarters if a member is transferring from an area where a Chapter of the Association does not yet exist.
All members shall be in possession of a job license before they can seek or accept jobs from any person or institution or engage in any paid activity requiring musical skill. The license shall be renewable periodically as specified by the National Working Committee.
All members shall bind themselves faithfully to be governed by the decisions of the Association or its representatives so nominated by the Association to act on its behalf.
All member shall be fair and just in their dealings with one another and shall not undermine the Association as an institution, or destroy or weaken the Association as a collective bargaining agency, or to carry on slander or libel of any member or officer of the Association.

(5) Membership shall be granted only on the approval of the National Working Committee of the Association.

(6) A Member who changes residence from one area to another, Shall be entitled to automatic membership of the Chapter in his new area, if the member obtains notification from his usual chapter stating that he is not in arrears of Associations dues or Levy and not in any way indebted to the Association. Rule 5 - THE CONSTITUTION AND GOVERNMENT
(1) This document or any subsequent amendment shall be known as the "Constitution of Performing Musicians Employers' Association of Nigeria."

(2) The Constitution shall be the basis of the contract between the members to establish and operate the Association.

(3) Every Member shall uphold and defend the constitution at all times, and pay the prescribed fees and dues.

(4) The Constitution shall not be altered , added to, amended or rescinded except by the resolution supported by the votes of not less than two thirds of Delegates at a National Conference.

(5) Any Chapter of the Association shall have the power to make supplementary rules which are necessary for the smooth conduct of the affairs of the Chapter, subject to the provisions of this Constitution.     

(6) All chapters shall forward all supplementary rules made by them to the general secretary of the Association who shall bring them to the attention of the National Executive Council.

(7) The National Executive Council may revoke any supplementary rule made by a Chapter if in its opinion the rule is against the interest of the members of the Association.

(8) Any supplementary rule which contradicts derogates from or is inconsistent with the provisions of this constitution or the Trade Unions Act shall to that extent be regarded as null and void and to no effect.

(9) GOVERNMENT OF THE ASSOCIATION
The Government of the Performing Musicians Employers' Association of Nigeria shall be vested in the following Organs:

(i) National Delegates Conference

(ii ) National Executive Council

(iii) National Working Committee

(iv) Chapter Executive Council

RULE 6 - REPRESENTATIVE OF MEMBERS
A Member may be represented by its chief Executive or a deputy in its employment at meetings of the association or to act as alternate for any person so nominated ruling in His Absence. A Member shall be deemed to be Present in person at any meeting when such Member is represented by a duly nominated representative or alternate.

RULE 7 - FINANCE
(1) Subscriptions to Provide for the Expenses of the Association shall be determined by the National Executive Council and Shall include as follows:
(a) I) Monthly Dues of Five naira(N5.00) Shall be paid by every member of the executive council shall from time to time determine the rate of Monthly dues.
(ii) All monthly dues collected by the chapters shall be forwarded to the National Headquarters
(iii) The National Headquarters shall keep account of all monthly dues received and remit fifty percent(50%) of such dues to the chapter from which they were received for the funding of the chapter.
(iv) Any member in default of monthly dues or any levy may be denied the usual privileges which members are entitled to.

(b) Special Levies - The National Executive Council may , if it considers it necessary, impose levies upon members of the Association. The Levies shall be forwarded to the National Headquarters or the Association.

(c) Foreign Performers Levy (by way of percentage of earnings while in the country and as distinct from Government Tax (e.t.c)

(d) Entertainment Promoters Levy i.e.  Dancer, Halls Levy

(e) Local Band and Groups Levy (For Non-Members)

(f) Entertainment Promoters Key (For non-members)

(g) Recording Houses Levy (For Non-Members)

(h) Royalties from Radio and Television e.t.c after due percentage has been paid to copyright owners and Government tax deducted.

(i) Fundraising Activities, Donations and Gifts.

(a) The Association shall organize fundraising activities including Musical Performances and Joint Recordings at the National and Chapter Levels. The National Executive Council May make further rules guiding such activities.

(b) The Association shall accept donations, gifts, grants, subscriptions from individuals, organizations and Government agencies to further the objectives of the Association.

(2)Funds - The Funds of the Association shall be applied by the Treasurer acting upon the instructions of the National Working Committee in payment of Salaries of Officials, Office rent, Other expenses and in Furtherance of any of the objectives of the Association.

(3)INVESTMENTS: Any fund of the Association not required for current expenses shall at the discretion of the National Executive Council be Invested by as in the name of the Association in any investments of Trust Funds such as Real Estate, Securities or Corporate Activities.

(4)Financial Year - The Financial year of the Association shall be 1st January to 31st December.

(5)The Treasurer shall be in charge of the accounts of the Association which shall be audited at least once in every year in respect of the period covered by the previous year, and shall be submitted to the National Executive Council.

(6)The Auditor(s) who shall not be a member of the Association shall be appointed by the National Executives Council. His appointment shall be communicated to the Registrar of Trade Unions for approval. His report shall be sent to the Association and Forwarded to the Registrar for approval. He shall thoroughly examine all books of accounts kept by the National Treasurer, Check all receipts and Payments and certify them accordingly. He shall have access to all books, accounts, vouchers and other documents of the Association which he may consider necessary.

(7)Indemnification - Every member or Officer of the Association who has been duly authorized by the Association to act on its Behalf shall be Indemnified by the Association against all damages,fines,costs,losses or expenses which such person may incur or become liable to pay by reason of any act or thing done by him in such capacity as aforesaid or in anyway in the discharge of his duties.

(8)Inspection Of Accounts - The last Balance Sheet and the Account Books of the Association shall be open to Inspection on appointment by any member during normal working hours at the registered office of the Association. The Membership register containing the names of all Members shall also be available for checking.

(9)Allowances and Bonus -
(a) The National Executive Council shall determine allowances and Bonuses to be paid to any member of the Association, officer or staff when necessary in relation to any good service rendered in the interest of the Association.
(b) Notwithstanding the Provision of (9) above the National Working Committee May determine bonuses to be paid to staff below the rank of assistant General Secretary.

(10)Honoraria: The National delegates Conference of the Association may grant suitable honoraria from its funds to officers whose duties call for part-time service to the Association at the National or Chapter Levels.

(11)Roiyalties,Fees and Session Hours
(i) To ensure that members derive adequate benefit for their work, The National Executive Council shall determine minimum Royalties and Fees payable within the Music Industry.
(ii) No Member shall accept to be paid less than the minimum royalty or fees determined by the Association.
(iii) The Association shall give all reasonable assistance to every member to ensure that all royalties and fees due to him are collected.
(iv) To assist in the funding of the activities of the Association, The National Executive Council shall determine the percentage of member's royalties or fees which shall be deducted from source and paid to the association. Such deduction shall not exceed 5% of a Member's Royalties or Fees.

(12)The National Executive Council shall make regulations guiding the conditions and hours of work of all session musicians working in Nigeria. All members shall abide by such regulations.

RULE 8 - NATIONAL DELEGATES CONFERENCE
(1) There shall be the National Delegates Conference of the Association and it shall be the highest Policy making and legislative organ of the Association.
(2)The National Delegates Conference shall Consist of:

(a) All members of the National Executive Council
(b) All Chapter Chairmen and Secretaries
(c) Delegates representing each Chapter, The number of which shall be determined from time to time by the National Executive Council Based on their numerical Strength.

(3)The National Delegates Conference shall be Held every two years in the Month of October or not more than three months after, in the event of any emergency.

(4)The National Executive Council shall decide the dates and venues of the Delegates Conference.

(5)A Special National Delegates Conference may however be held on such a date and such venue as may be decided by a resolution of at least 2/3 of Members of the majority of the Chapters forwarded to the General Secretary.

(6)Items for inclusion in the Agenda of the Delegates Conference of the Association, shall be forwarded to the General Secretary to reach him not later than two months before the Meeting.

(7)The National Executive Council shall have the power to determine the items to be included in the agendda and the order of Priority.

(8)The Agenda of the National Delegates Conference together with the supporting papers shall be forwarded to the Delegates to reach them not later than 14 days before the Meeting.

(9)The Business of the National Delegates Conference shall be the consideration and determination of internal matters of Policy affecting the Members of the Association, and all matters included in the agenda including the election of new officers where applicable.

(10)Each Chapter of the Association shall constitute one Constituency for the purpose of electing Delegates to the Conference of the Association.

(11)To be eligible for nomination and election as a delegate, a member must have been a financial member of the Association for at least One Year.

(12)Every Delegate at the National Delegates Conference shall have the right to participate fully in all Matters. However no full time employee of the Association shall vote at the National Delegates Conference.

(13)The National Delegates conference shall constitute one constituency for the election of National Officers of the Association.

(14)Every member of the association who satisfies the provisions of this constitution shall be eligible for election into any office in the Association. The fact that a member not a delegate shall not disqualify him from contesting in an election into any office of the Association.

(15)The President of her Association shall preside over the National delegates Conference. In his absence the 1st Vice President or any other member elected by majority of the Delegates present shall preside in that order.

(16)Forty percent (40%) of all eligible delegates shall form a quorum for the National Delegates Conference.

RULE 9A - NATIONAL EXECUTIVE COUNCIL (NEC)
(1)There Shall be the National Executive Council and it shall administer the Association between one National Delegates Conference and another in accordance with the Provisions of this Constitution.

(2)The National Executive Council shall be made up of the following:
(a) President
(b) 1st Vice President
(c) 2nd Vice President
(d) National Treasurer
(e) Seven Members with different professional backgrounds or areas of specialization.
(f) Chairman of National Standing Committees
(g) Chairman of all Chapters
(h) General Secretary
(i) Assistant General Secretary
(j) National Legal Adviser

(3) A candidate must have been a financial member of the Association for at least one year, to be eligible for nomination and election to the Council.

(4) Election of the President, the Vice-Presidents, the National Treasurer and the seven members with specialization shall be at the National Delegates Conference.

(5) Every member of the National Executive Council, except the General Secretary, the Assistant General Secretary and the National Legal Adviser, shall have the right to vote.

(6) The National Executive Council shall meet at Least three Times in a Year.

(7) The General secretary in consultation with the President shall convene meetings of the National Executive Council and determine items to be included in the Agenda to the Council Meetings. Such items shall be forwarded to the members of the council at least three weeks before a meeting of the council.

(8) An Emergency meeting of the National Executive Council shall be summoned upon the written request of not less than 4 Members of the National Executive Council.

(9) One third (1/3) of the total membership of the National Executive Council shall constitute a Quorum for all meetings of the Council.

(10) The President shall preside over the meetings of the Council. In the absence of the President, the 1st Vice President, the 2nd. Vice President or any Other member elected by a majority of the members present shall preside in that order.

(11) The member presiding at a meeting of the Council shall have a casting Vote.

(12) The Business of the National Executive Council Shall be the consideration of any matter included in the Agenda, however, the member presiding or a majority of the Other members may approve the consideration and determination of any matter not included in the Agenda.

(13) At the meetings of the National Executive Council, decisions shall be taken by a majority of those members present and voting by show of hands or by secret ballot, except as otherwise stated elsewhere in this Constitution.

(14) The National Executive Council shall protect and further the interests of all members of the Association, implement policies decided upon by the National Delegates Conference; Ensure that Members observe all the rules of the Association; Issue directives for the proper administration and governance of the Association subject to the provisions of this Constitution.

(15) No Member of the National Executive Council having pecuniary interest in a matter before the Council shall be entitled to vote on such a matter.

(16) The National Executive Council shall report its activities to the National Delegates Conference.

(17) Members of the National Executive Council Shall have the right to participate in the activities of their Chapters but Shall not Hold Office in any Chapter except in the case of persons who are members of the Council by Virtue of their being Chairman of Chapters.

(18) The National Executive Council shall have the power to impose disciplinary measures on any member who acts in any way contrary to the interests of the Association.

(19) The National Executive Council shall appoint the General Secretary and the assistant general secretary and determine Their remuneration.

(20) In the Absence of the General Secretary and the Assistant General Secretary, The National Executive Council may appoint anyone to act as its Secretary for the time being.

(21) The National Executive Council shall have power to appoint standing committee, Adhoc committees and to Co-opt experts to advise on or deal with any special issues affecting the Association.

(22) Any member of the National Executive Council (Paid or Unpaid), wishing to resign from the Council shall give three Months notice in writing to the Council.

(23) The National Executive Council shall be dissolved at the Biennial Delegates Conference and Fresh Elections held.

(24) Where the National Executive Council is dissolved at a Special Delegates Conference, a Caretaker committee shall be elected to run the Association until the next National Delegates Conference.

RULE 9B - NATIONAL COMMITTEES
(1) The following standing committees shall be set up by the National Executive Council and shall stand dissolved at the dissolution of the council:
(i) National Advisory Committee
(ii) National Disciplinary Committee
(iii) National Projects Committee

(2) NATIONAL ADVISORY COMMITTEE
(i) There shall be a committee of advisers to be known as the National Advisory Committee and it shall be made up of all Former Presidents of the Association and such other experienced, and distinguished members as may be decided by the National Executive Council.
(ii) The Committee shall meet once a year at a date and Venue to be decided by the National Executive Council in Consultation with Members of the committee or at any other time as emergency demands.
(iii) The Members of the National Advisory Committee shall elect from amongst themselves a Chairman for each meeting of the Committee.
(iv) The Members of the committee shall individually and severely offer advice and Opinion to the National Executive Council, through the President on issues that are Likely to have wide ranging effect on the Association.
(v) The Committee shall have the Power to summon any Member or Officer of the Association to appear before it.
(vi) Every past President of the Association shall be an automatic Member of the National Advisory Committee.
(vii) Other Members of the National Advisory Committee shall be appointed by the National Executive Council and shall serve at the Pleasure of the Council.

(3) NATIONAL DISCIPLINARY COMMITTEE
(i) There shall be the National Disciplinary Committee.
(ii) It shall be made up of a Chairman and four other Members to be appointed by the National Executive Council and Shall stand dissolved at the dissolution of the Council.
(iii) The National Disciplinary Committee shall consider disputes between a member and the Association referred to it by the General Secretary.
(iv) The committee shall have the power to summon any member of the association to appear before it
(v) it shall seek to resolve disputes but may recommend disciplinary measures against any member to the National Working Committee for approval .
(vi) The decisions of the National Disciplinary Committee shall be upheld by at least three members of the Council.

(4) THE NATIONAL PROJECTS COMMITTEE:
(i) There shall be a National Projects Committee.
(ii) It shall be responsible for formulating and developing proposals for special projects to raise funds continuously for the Association.
(iii) It shall be made up of a Chairman and Four other members to be appointed by the National Executive Council.
(iv) The Proposals of the projects committee shall be forwarded to the National Working Committee for approval.
(v) The projects Committee shall have Power to appoint sub committees or co-opt experts to advise it in carrying out its function on Behalf of the Association.

RULE 10 - NATIONAL WORKING COMMITTEE (NWC)
(1) There shall be a National Working Committee of the Association and it shall consist of the following:-
(a) President
(b) 1st Vice President
(c) 2nd Vice President
(d) National Treasurer
(e) General Secretary
(f) Assistant General Secretary

(2) The National Working Committee Shall administer the day to day affairs of the Association between one National Executive Council Meeting and another.

(3) The National Working Committee shall meet regularly and as emergency demands.

(4) The National Working Committee Shall Report its activities to the National Executive Council.

(5) The General Secretary, in consultation with the President shall convene a meeting of the Committee as and When the need arises and determine the items to be included in the Agenda.

(6) The President shall Preside at the meetings of the National Working Committee and in his absence the Vice Presidents in their Order of Seniority.

(7) Four Members of the committee shall form a Quorum.

(8) Voting at the meeting of the National Working Committee shall be by show of hands or by secret ballot.

(9) The National Working Committee May impose a fine on or suspend any erring member subject to the provisions of Rule 14 of this Constitution.

RULE 11 : CHAPTERS AND CHAPTER EXECUTIVE COMMITTEE:
(1) There shall be a chapter of the Association in each State of the Federation and Abuja or Such geographical areas as may be determined by the National Executive Council.

(2) The name and geographical area of a Chapter shall be approved by the National Executive Council before such a chapter can Function.

(3) The name, geographical area and particulars of a Chapter shall not be Changed without authorization by the National Executive Council.

(4) The General Meeting of each Chapter shall be held once every month at Venues decided by the Members or the Chapter Executive Committee.

(5) The quorum for Chapter meetings Shall be 10% of total membership of the Chapter.

(6) There shall be a Chapter Executive Committee for Each Chapter of the Association and it shall be made up of the following - Chairman, 1st Vice Chairman, 2nd Vice Chairman, Treasurer, Secretary, Publicity Secretary, Provost and two Welfare Officers.

(7) The General Meeting of the Chapter Shall form one constituency for the election of the members of the Chapter Executive Committee who shall hold Office for a period of One year and shall be eligible for re-election at the pleasure of Members of the Chapter.

(8) Each Chapter Secretary who shall be a paid employee shall be appointed by the National Working Committee and shall assist the General Secretary in the Performance of his duties at Chapter Level and shall carry out the Directives of the Chapter Executive Committee.

(9) The General Meeting Shall make supplementary rules and regulations for the smooth conduct of the affairs of the Chapter subject to the Provisions of Rule 5 of this Constitution.

(10) The Chapter Executive Committee shall be dissolved by the National Executive Council if in its opinions the activities of the Chapter Executive Committee are not in the interest of the Association. The National Executive Council shall in such a situation appoint and / or Order fresh elections.

(11) The Chapter Executive Committee shall also be Dissolved by a Vote of no confidence passed by a simple majority of all the members of the Chapter.

(12) The Chairman shall preside over the general Meetings of the Chapter Executive Committee. In His Absence, The 1st Vice Chairman,2nd Vice Chairman or any other member elected by the Members present in that order shall preside.

(13) The Chapter Executive Committee shall ensure the proper Organization and involvement of members of the Association at the grassroots, represent the Members when necessary and implement the directives of the higher organs of the Association.


RULE 12 - NATIONAL OFFICERS AND THEIR DUTIES.

(1) (a) The following shall be the National Officers of the Association:

(i) President

(ii) 1st Vice President

(iii) 2nd Vice President

(iv) National Treasurer

(v) General Secretary

(vi) Assistant General Secretary

(vii) National Legal Adviser.

(b) Elected Officers - The Association shall elect officers at the National Delegates Conference.

(c) Other Officers of the Association including the general Secretary and the Assistant General Secretary shall be appointed by the National Executive Council.

(d) DUTIES OF OFFICERS:
(i) THE PRESIDENT: The President shall Preside at the National Delegates Conference and at meetings of the National Executive Council and the National Working Committee. He Shall be responsible for the proper conduct of business at all such meetings and shall have a casting vote. He shall sign the minutes at the Time they are produced. In conjunction with the General Secretary, he shall be responsible for the general administration of the affairs of the Association and keep himself in close contact with the National Secretariat. He shall endeavor to secure the observance of this Constitution by all Members of the Association. He shall perform such other functions and duties pertain to his Office.

(ii) THE VICE PRESIDENTS: The Vice Presidents Shall undertake the duties and powers of the President in their order of seniority at any time the President is absent. They shall assist the President in the Performance of his duties. They shall also be assigned specific duties by the National Executive Committee.

(iii) THE GENERAL SECRETARY: The General Secretary who May also be known as Secretary General shall conduct the business of the Association in accordance with the rules of the Association and shall carry out the instructions of the National Executive Committee and the National Working Committee. As a full Time employee he shall be in charge of the National Secretary and other full time employees of the Association. He shall attend and make necessary arrangements for Meetings of the National Working Committee, the National Executive Council and the National Delegates Conference, the minutes of which he shall record. He shall render such assistance as may be desirable for the smooth functioning of all National Committees. He shall implement all policies laid down by the Association and shall keep a Register of Members. He shall in conjunction with the National Treasurer Prepared or cause to be prepared Annual Returns of the Association in accordance with the existing laws of the country. He shall advise on and inform members of the National Executive Council about all matters and developments that are likely to affect the Association. For any Person to be appointed to the post of General Secretary of the Association, he must have satisfied the National Executive Council that he possesses adequate administrative ability, Knowledge and Education. The General Secretary shall be relieved of his appointment on three months notice in writing or upon the payment of three months salary in lieu of the Notice.

(iv) THE ASSISTANT GENERAL SECRETARY:
The Assistant Secretary who may also be known as Assistant Secretary-General shall be a full time officer. He shall attend meetings of the National Working Committee, The National Executive Council, and the National Delegates Conference. He shall assist the General Secretary in the Performance of duties that may be assigned to him by the General Secretary from time to time. In the absence of the General Secretary the Assistant General Secretary shall act for him.

(v) THE NATIONAL TREASURER:
The National Treasurer shall be responsible for the general supervision of all the finances and Accounts of the Association. He shall keep a record of all Revenue and Expenditure of the Association. He may with the approval of the National Working Committee delegate some of his functions through the General Secretary to a full time Office employed for the Purpose of Accounting. He shall under no circumstances be denied access to Financial Records and information. He shall sign cheques on behalf of the Association in accordance with Rule 13 (5) of this constitution.

(vi) THE NATIONAL LEGAL ADVISER:
There shall be a National Legal Adviser for the Association who shall be appointed by the National Executive Council. He may be available for consultation by Members of the Association. The National Legal Adviser shall be Paid a fee to be approved by the National Executive Council.

RULES 13 - TRUSTEES
(1) The following shall constitute the Trustees of the Association:

(i) The President

(ii) The 1st Vice President

(iii) The National Treasurer

(iv) One Member who shall be elected at the National Delegates Conference

(2) The four trustees for the time being shall have vested in them all the real and personal estate and whatsoever belongs to the Association and they shall deal with it in such a way as the National Executive Council may direct.

(3) A trustee may be removed from office by the National Executive Council on the grounds of ill-health, unsoundness of mind, removal from the country or for any other reasons for which he is unable or unsuitable to perform his functions. such removal shall be by a resolution supported by at least 2/3 of members of National Executive Council present at a meeting and voting.

(4) In the event of the death, resignation or removal of a Trustee from Office the National Executive Council shall appoint a suitable successor to hold office until the next National Delegates Conference.

(5) Any of the trustees, in conjunction with the President or the National Treasurer or the General Secretary, shall sign cheques drawn on the current Bank Account on behalf of the Association.

RULE 14 - MISCELLANEOUS FINES, SUSPENSION AND EXPULSION:

(1) Any member who fails to comply with the Performing Musicians Employers' Association of Nigeria Constitution or acts in anyway that is contrary to the interest of the Association, may be fined, suspended or expelled from the Association.

(2) A member maybe fined or suspended from the Association for a period not exceeding 4 months by a resolution of the National Working Committee and for a period not exceeding 12 months by a resolution of the National Executive Council supported by not less than half of the members present at a meeting.

(3) A member shall not be expelled from the Association except by a resolution of the National Executive Council supported by not less than two-thirds of the members Present at a Meeting.

(4) A member Shall not be fined, suspended or expelled from the Association except reasonable opportunity has been given to him to be heard in Person.

(5) A member fined or suspended by the National Working Committee may appeal to the National Executive Council while a member fined, suspended or expelled by the National Executive Council may appeal to the National Delegates Conference. such fine, suspension or expulsion shall subsist except and until the National Executive Council or the National Delegates Conference, as the case may be decided otherwise.

(6) A suspended member shall have no membership rights or Privileges during the Period of his suspension.

(7) All expelled Members shall have no rights whatsoever in the Association, or in the funds or properties of the Association.

RULE 15 - RESIGNATION
(1) A Member wishing to resign his/her Membership from the Association shall give three months notice in writing to the General Secretary.

(2) A member's resignation shall not take effect if he is indebted to the Association.

(3) A member who tenders his resignation shall not be entitled to any refund of subscriptions paid by him.

(4) On the resignation of a Member becoming effective, the member shall cease to have any interests in the funds or property of the Association.

RULE 16 - RE-ADMISSION
(1) A member having resigned his membership may at anytime after resignation re-apply for admission to Membership.

(2) An application for re-admission shall be considered by the National Executive Council.

(3) A re-admitted Member shall on re-admission be regarded as a new Member.

RULE 17 - AMENDMENTS
This constitution and any bye-laws made, hereunder may be altered, added to, amended or rescinded by a resolution supported by Votes of not less than two-thirds of total membership at the National Delegates Conference.
Amendments or alterations to the Constitution by whatever process shall however not be valid until they have been registered by the Registrar of Trade Unions.

RULE 18 - DISSOLUTION
The Association shall not be dissolved except with the consent of two thirds of total membership, in the event of the Association being dissolved as provided above, all debts and liabilities legally incurred on behalf of the Association shall be fully discharged and the remaining funds distributed according to the Law.
